Terms and Conditions

- Introduction
Welcome to Third Eye HR UG! These Terms and Conditions (“Terms”) govern your use of our payroll and HR services (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
- Definitions
- “Company Third Eye HR UG”: Refers to the payroll and HR service provider, registered in Germany with VAT ID: DE419811339.
- “Client”: Refers to the individual or entity using our Services.
- “Services”: Refers to the payroll processing and related HR services provided by Third Eye HR UG.
- “Agreement”: Refers to these Terms and Conditions and any additional agreements between Third Eye HR UG and the Client.
- Services Provided
Third Eye HR UG agrees to provide the following Services to the Client:
- Payroll processing and management.
- Calculation and submission of taxes and social security contributions.
- Generation and delivery of payroll reports and payslips.
- Compliance with applicable German labor, tax, and social security laws.
- Client Responsibilities
The Client agrees to:
- Provide accurate and complete information required for payroll processing, including employee details, working hours, and salary information.
- Notify Third Eye HR UG promptly of any changes to the provided information.
- Comply with all applicable laws and regulations regarding employment and data handling.
- Pay all fees for Services as outlined in the agreed-upon pricing plan within the specified timeframe.
- Fees and Payment
- Invoices: Third Eye HR UG will issue invoices for the provided Services as per the agreed pricing plan.
- Payment Terms: Payments are due within 14 days of the invoice date. Late payments may incur interest of 2% per month, calculated from the due date.
- Suspension of Services: Third Eye HR UG reserves the right to suspend or terminate Services in the event of non-payment.
- Data Protection and Privacy
- Third Eye HR UG will process personal data in compliance with its Privacy Policy and applicable data protection laws, including GDPR.
- The Client ensures that all data provided to Third Eye HR UG has been collected and shared lawfully, in accordance with German and EU regulations.
- Confidentiality
- Both parties agree to maintain confidentiality of all shared information during the course of the agreement.
- Confidential information will only be disclosed to third parties with prior written consent or if required by law.
- Limitation of Liability
- Third Eye HR UG is not liable for indirect, incidental, or consequential damages arising from the use of its Services.
- The total liability of Third Eye HR UG under this Agreement is limited to the total fees paid by the Client for Services in the preceding 2 months.
- Termination
- By Notice: Either party may terminate this Agreement with 30 days’ written notice.
- For Breach: Third Eye HR UG reserves the right to terminate the Agreement immediately if the Client breaches these Terms.
- Upon termination, the Client must pay all outstanding fees for Services rendered up to the termination date.
- Amendments
- Third Eye HR UG reserves the right to amend these Terms at any time. Changes will be communicated in writing and will take effect 7 days after notification or publication on our official website.
- Governing Law and Jurisdiction
- These Terms shall be governed by the laws of Germany.
- Any disputes shall be resolved amicably. If resolution cannot be reached, disputes will be subject to the exclusive jurisdiction of the courts in Limburg, Germany.
- Force Majeure
- Third Eye HR UG is not liable for delays or failure to perform obligations due to circumstances beyond its control, such as natural disasters, government restrictions, or technical failures.
- Entire Agreement
- These Terms, along with any written agreements or invoices, represent the entire agreement between the parties, superseding all prior agreements.
- Severability
- If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
